Bain Capital has agreed to acquire PowerSchool Holdings, a provider of cloud-based software for K-12 education, in a deal valued at $5.6 billion. The acquisition will take PowerSchool private, with the purchase price set at $22.80 per share in cash. This deal represents a 37% premium over PowerSchool's previous share price and values the company at 7.2x 2024 sales. The transaction is supported by debt financing from a group of private credit lenders. Kirkland & Ellis and Ropes & Gray are the legal advisors for the acquisition.
