VisitAMD to Acquire ZT Systems for $4.9 Billion in Cash-Stock Deal, Closing in 2025

Advanced Micro Devices (AMD) has announced it will acquire ZT Systems, a leading designer of data-center equipment, in a deal valued at $4.9 billion. The transaction will be a combination of cash and stock, consisting of 8.34 million AMD shares and $3.375 billion in cash, with a $300 million termination fee. ZT Systems, founded in 1994 and based in New Jersey, is known for its expertise in cloud computing and artificial intelligence infrastructure, making it a strategic acquisition for AMD as it seeks to enhance its capabilities in these areas. The acquisition is expected to close in the first half of 2025 and is anticipated to be accretive on a non-GAAP basis by the end of 2025. This move is part of AMD's strategy to challenge Nvidia's lead in AI infrastructure.
